Made a mistake in my post yesterday -- HSF is not Vantec -- is ZALMAN 7000CU. Very good HSF and no louder than the stock intel even at full speed, but allows overclocking and CPU still much cooler than with the stock HSF.

MSI 865PE Neo2 -- P4 2.40c -- 512mb Corsair 400mhz (800 FSB) OC - 2.540 -- Vantec 7000 HSF -- arctic silver CPU idle 36c, 100% load 44c -- Case 35c -- Ambient approx 27c

My 2.4c runs much hotter than that -- with the intel hsf unit and not overclocked, I had temps in the low to mid 50c range. I just replaced it with a vantec 7000 and arctic silver, it lowered the temps over 15c to around 36c idle and 44c with 100% cpu and clocked to 2540. I'm happy with the temp now with the vantec hsf.
