With Intel Price cuts smart to get a 4300 over 6400 or better?

I was debating if it was still worth purchasing the C2D 4300 after the price cuts when compared to the 6400. I will be using the following

MOBO -- DFI infinity 975GX

NB cooler = HR-05SLI

CPU -- TBD

Heatsink - TBD ( Thermalright Ultra 120(extreme if out), or Tuniq Tower ( if they will stay on in a tower)

RAM -- OCZ Plat. REv 2 2x1gb

VIDEO -- Sapphire X1950XT 256MB

CASE -- Lian LiPC-70USB

PSU -- OCZ POWERSTREAM 600W

HDD -- 2 Seagate 400GB SATA drives

DVD -- Sony, PX-760A

PERIPHERALS -- Razer BoomSlang 2200 With Razor XactMat

Monitor Iiyama 22" 512Pro

I will be O/C and am considering if with the price cuts if I should get the E4300 and just O/C it to 3.1-3.5 GHZ and just wait for prices to go down even further so I can get a better CPU down the line. What do you think? Also is it worth waiting for the Ultra 120 Extreme?

I find it very hard to feel sorry for you with your ATI X1950XT ;) , sure the 8800gts is better, but X1950XT is no wimp.

Any Conroe you are looking to buy will hit 3ghz on air pretty easily. As far as I am concerned that is more than plenty enough of CPU muscle for anything you are ever going to need to do....for now.:)

Fisher, thanks for the coodles for my new 1950xt. I was almost beginning to think that the card was crappy. It O/C's pretty nice so thats not too bad. As to the Conroes from what I take it your recommending going with the 6300+ series over the 4300's right? I thought the Multi being lower might affect my O/C with my setup. My idea was to do the following,

Get the most bang for the buck cpu wise that would give me the MHZ. Then 1 hr down the line upgrade to a higher grade proc that does more like Q4 and stuff. With that being known if I want to spend less than 200$ and save the extra money so that I can use it down the line what would you say?

Air cooling with a decent after market cooler and depending on what FSB you are at will vary, I get 30c +/- a few degrees idle and 50c stressed.

Intels have higher threshold for pain imo.:beer
